By creating an account or using GROSERYLIST services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. These terms apply to all users of the service, including but not limited to users who are browsers, customers, merchants, and contributors of content.

2. Description of Service

GROSERYLIST provides grocery list management tools, meal planning features, budget tracking capabilities, and related services to help users organize and manage their grocery shopping needs. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

3. Account Registration

To use certain features of our services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account
• Promptly update your account information to keep it accurate and current
• Accept all responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 13 years old to create an account. If you are under 18, you must have your parent or legal guardian's permission to use our services.

4. Subscription and Payment

Free and Premium Plans

We offer both free and premium subscription plans. Premium features require payment of subscription fees.

Billing

By purchasing a premium subscription, you agree to pay all applicable fees. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). You authorize us to charge your payment method for these recurring fees.

Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to premium features until the end of your current billing period. We do not provide refunds for partial subscription periods.

Price Changes

We reserve the right to modify our subscription fees. We will provide you with reasonable notice of any fee changes, and the changes will apply to subsequent billing periods.

5. User Content and Conduct

Your Content

You retain all rights to the content you create using our services (lists, notes, meal plans, etc.). By using our services, you grant us a license to use, store, and display your content solely for the purpose of providing and improving our services.

Prohibited Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit any harmful or malicious code
• Attempt to gain unauthorized access to our systems
• Use our services for any illegal or unauthorized purpose
• Interfere with or disrupt our services or servers
• Collect or harvest any information from other users
• Use automated systems to access our services without permission

6. Intellectual Property

The service and its original content, features, and functionality are owned by GROSERYLIST LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

Our services may integrate with or contain links to third-party websites, applications, or services. We are not responsible for and do not endorse the content, products, or services of these third parties. Your interactions with third-party services are solely between you and the third party.

8. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, timely, secure, or error-free. We do not warrant the accuracy or reliability of any information obtained through our services.

9. Limitation of Liability

To the maximum extent permitted by law, GROSERYLIST LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers and personal information
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, or other harmful code transmitted through our services
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content

10. Indemnification

You agree to defend, indemnify, and hold harmless GROSERYLIST LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any rights of another party.

11. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use the services will immediately cease. If you wish to terminate your account, you may do so through your account settings or by contacting us.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Broward County, Florida.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after any revisions become effective, you agree to be bound by the revised terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GROSERYLIST LLC regarding the use of our services, superseding any prior agreements between you and GROSERYLIST LLC relating to your use of the services.
